Affiliate Program Terms — SevenCoins

1) Definitions

The SevenCoins Affiliate Program allows content creators, influencers, and commercial partners ("Affiliates") to promote platform services through exclusive promotional coupons, receiving commissions on qualified sales.

2) Eligibility

Individuals or legal entities may participate, provided they:

• have an active SevenCoins account;
• provide valid registration and banking details;
• fully accept these terms.

SevenCoins may approve or reject any affiliate's participation at any time without obligation to justify.

3) How coupons work

Affiliates will receive exclusive promotional coupons, which may have limited validity, including less than 24 hours, and may be changed, replaced, or disabled at any time for operational or security reasons.

Expired or invalid coupons do not entitle to commissions or retroactive discounts.

4) Sale attribution

A sale will be considered linked to the affiliate when:

• the user applies a valid coupon at checkout; and
• the transaction is correctly recorded by SevenCoins systems.

SevenCoins is not responsible for failures caused by incorrect coupon use, script blockers, or manual changes by the user.

5) Settlement, commission periods, and payment confirmation

Commissions are calculated solely based on amounts actually received by SevenCoins.

Each calendar month is considered a commission period. Sales made within the same month will be grouped in the respective monthly period.

A sale is only eligible for commission after:

• payment confirmation; and
• financial settlement by the payment operator (e.g., Stripe, Pagar.me).

Cancelled, refunded, or disputed transactions do not generate commissions.

6) Commission calculation

Affiliate commission may be defined as a fixed amount or a percentage per qualified sale, as established by SevenCoins. The values applicable to each plan are shown in the affiliate dashboard or official program materials and may be updated periodically, with no retroactive effect on already confirmed sales.

Affiliate commissions are defined and calculated in the currency applicable to the affiliate's country of registration, according to SevenCoins's operational criteria.

For affiliates residing in Brazil, all commissions are defined, displayed, and settled in Brazilian reais (BRL), regardless of the currency used by the customer at purchase.

For international affiliates, commissions may be defined and calculated in U.S. dollars (USD) or another applicable currency.

6.1) Subscriptions and one-time commissions

When a user purchases a subscription plan using a coupon linked to an affiliate, the commission is calculated solely on the first charge that is actually settled.

Recurring charges, automatic renewals, or additional subscription periods do not generate new commissions, except when expressly stated in specific campaigns published by SevenCoins.

If the user chooses an annual plan paid in a single installment, the commission is calculated on the total amount of the first charge.

6.2) Currency conversion

When applicable, currency conversion is performed at the moment the sale is confirmed and recorded in the system, based on internal or market exchange rates used by SevenCoins.

The amount determined at the moment of sale is considered final for commission calculation purposes and is not affected by subsequent exchange-rate fluctuations.

SevenCoins is not responsible for any differences arising from exchange-rate fluctuations between the purchase currency and the affiliate payout currency.

The currency and commission amount shown in the affiliate dashboard are considered final for calculation and payment purposes.

7) Balance release

After the close of each monthly period and confirmation of financial settlement of the corresponding transactions, eligible amounts will be available as balance in the affiliate dashboard.

Eligibility for withdrawal, the payment timeframe after submission and validation of tax documentation, and the timeframe to request withdrawal are set out in section 10 and subsection 10.1.

Email notifications about new sales are for informational purposes only and do not constitute final recognition of commission or an obligation to pay.

8) Payout request

Commission payment is not automatic. The affiliate must:

1. access the affiliate dashboard;
2. request withdrawal of available balance.

Requests may be subject to minimum amounts and internal verification.

SevenCoins may withhold or suspend withdrawal requests in case of indications of fraud, abuse, registration inconsistencies, or violation of these terms, until duly verified.

9) Tax invoice

For payment to be made, the affiliate must issue an invoice or equivalent tax document, when applicable, containing:

• description of marketing, advertising, or digital promotion services;
• amounts consistent with the requested balance.

Affiliates residing outside Brazil may provide an invoice or equivalent tax document, including a description of services rendered, amounts, and service provider identification; such document is accepted for payment and accounting records by SevenCoins.

The tax invoice or equivalent document may be submitted before the commission eligibility date; payment will be processed only after the end of the applicable retention period.

Tax documentation submitted must match the affiliate's registration data on the platform, including, where applicable, name or legal entity name and tax identification number (such as CNPJ, EIN, VAT, or equivalent).

SevenCoins may refuse documents or request corrections when there are material discrepancies compared to the registered data.

In exceptional cases, SevenCoins may, at its sole discretion, accept documents issued by third parties linked to the affiliate, provided they are duly justified and validated.

Lack of valid tax documentation may delay payment until regularized.

10) Payment timeframe

Commissions become eligible for withdrawal after a period of up to 60 (sixty) days from the close of the monthly period in which the sales were made, provided that transactions have been duly settled and there is no dispute, chargeback, or indication of fraud.

Payment of commissions is conditioned on the affiliate's withdrawal request and submission of valid tax documentation (tax invoice, invoice, or equivalent document, as applicable).

After receipt and validation of the tax documentation, SevenCoins will make payment no later than the 5th (fifth) subsequent business day.

10.1) Timeframe to request payment

Amounts shown in the affiliate dashboard must be requested for withdrawal within a maximum period of 12 (twelve) months from the date they become eligible for withdrawal.

If the affiliate does not submit a withdrawal request or does not send the required tax documentation within that period, the amounts may be deemed expired and will no longer be owed for payment.

SevenCoins may, at its sole discretion, review exceptional cases upon request by the affiliate.

After expiration, amounts may be permanently removed from the system, with no credit or future payment obligation.

11) Prohibited activities

It is prohibited to:

• use coupons on own purchases to generate commission, including but not limited to purchases made by the affiliate, family members, collaborators, or through accounts under their direct or indirect control;
• publish false or misleading information about the platform;
• use spam, bots, or artificial traffic to generate sales.
• engage in conduct that may harm the image, reputation, or credibility of SevenCoins, including disseminating knowingly false, misleading, or decontextualized information about the platform, its services, or its team;
• use the brand, name, logo, or any SevenCoins assets improperly, without authorization, or in contexts that may cause confusion, negative association, or harm to the company's image.

SevenCoins may suspend accounts and withhold payments in case of suspected fraud or abuse.

SevenCoins may immediately terminate the affiliate's participation in the program and withhold pending amounts if conduct harms or may harm its reputation, at its sole discretion, following internal review.

12) Affiliate responsibilities

The affiliate is fully responsible for:

• content they publish;
• compliance with applicable laws, including tax obligations;
• statements made on their channels.

The affiliate acts independently; there is no employment relationship with SevenCoins.

13) Program changes

SevenCoins may modify, suspend, or terminate the Affiliate Program at any time, with prior notice when reasonably possible.

14) Limitation of liability

SevenCoins does not guarantee minimum sales volume, revenue, or affiliate performance. Participation in the program does not constitute a promise of financial gain.
